1. Scope and agreement

This license governs model weights, parameters, configuration files and related assets supplied by ai-coustics GmbH ("we", "us") and identified as subject to this license ("Model Artifacts"). It applies only to material we own or are entitled to license. Identified third-party materials remain governed by their own licenses.

Your "Agreement" is the agreement with us authorizing your use of the Model Artifacts: either a separate customer agreement or the version of our Terms of Service at https://ai-coustics.com/legal/terms that you have accepted, together with the applicable trial, Plan or Order. This license forms part of that Agreement. Public availability or download alone grants no rights.

An "Authorized Product" is an application, device, service or software package you develop, operate or distribute within your Agreement, using the Model Artifacts through the ai-coustics SDK or other software we expressly authorize in writing.

2. License grant

Within the purposes, products, deployments, usage limits and duration authorized by your Agreement, we grant you a non-exclusive, worldwide license to:

  • download, store and cache the Model Artifacts;

  • make copies reasonably needed to develop, test, back up, deploy and operate an Authorized Product;

  • bundle the Model Artifacts with an Authorized Product, including in installers, application packages, containers, device images and firmware;

  • distribute those bundled copies under section 3; and

  • execute the Model Artifacts through the SDK or other software we have authorized.

You may charge for an Authorized Product and operate it as a hosted service within the agreed scope. Reselling or white-labeling access to our model-processing services, supplying Model Artifacts as standalone assets, or granting third parties independent access to our technology requires a separate written commercial agreement with us. Distributing or operating an Authorized Product under your own brand is permitted within the license granted here.

This license is non-transferable except as permitted by your Agreement and grants no sublicensing rights beyond the use and distribution expressly permitted here. It does not independently license the SDK or expand an offline entitlement.

3. Distribution and service providers

You may distribute Model Artifacts as an integrated component of an Authorized Product through application stores, software repositories, device distribution channels and other deployment systems. Recipients may use them only as part of that product within the rights granted by your Agreement.

You must retain proprietary notices and identify this license and the applicable versioned terms. Your distribution terms must prohibit recipients from extracting, modifying, independently using or separately redistributing the Model Artifacts, subject to mandatory law and third-party license rights.

You may provide copies to contractors, hosting providers, manufacturers, distributors and other providers as reasonably needed to build, host or distribute an Authorized Product on your behalf. Their rights must be limited to those purposes and subject to equivalent restrictions. You remain responsible for their handling of the Model Artifacts under your Agreement.

Apply reasonable technical and organizational measures appropriate to the platform to protect against unauthorized access, extraction and reuse. Do not intentionally provide interfaces or instructions enabling standalone access. Technical extractability alone is not a breach if you meet these requirements.

4. Restrictions

Except as permitted by this license, your Agreement or our written authorization, you must not:

  • execute the Model Artifacts independently of the SDK or other authorized software;

  • publish, sell or otherwise supply them as standalone files or separately usable assets;

  • extract, decode, convert, modify, adapt, fine-tune or create derivative models from them;

  • reverse engineer or attempt to derive their architecture, parameters, training methods or implementation;

  • use them to train, improve, distill or develop other models or competing products;

  • provide a service whose primary purpose is to give third parties direct access to the Model Artifacts;

  • bypass authentication, entitlements, usage reporting or licensing controls to obtain unauthorized use or avoid agreed charges; or

  • remove or alter proprietary notices.

These restrictions do not limit rights granted by applicable open-source or third-party licenses or mandatory law.

5. Benchmarking

You may conduct internal benchmarking and performance comparisons of the Model Artifacts within your license. You must not publish or otherwise make benchmark results or performance comparisons available outside your organization without our prior written consent. This restriction does not limit rights granted under applicable open-source licenses or mandatory law.

6. Ownership

We and our licensors retain ownership of the Model Artifacts. Ownership of an Authorized Product does not transfer ownership of the Model Artifacts included in it. No rights are granted beyond those expressly stated in this license and your Agreement.

7. Updates and retirement

This license applies to updates and replacement Model Artifacts supplied under your Agreement unless a different license is validly agreed. A new download or change to a webpage does not itself amend the license governing your existing rights.

Your Agreement governs changes, retirement notices, replacement obligations and remedies for loss of agreed functionality. Where the Terms of Service apply, their section 12 governs these matters. This license creates no separate right to retire a model on shorter notice.

8. Term and termination

This license continues for the authorized term under your Agreement. Suspension and termination for breach, including notice and an opportunity to remedy the breach, are governed by that Agreement. A breach does not automatically terminate this license independently of those procedures.

When your authorization ends, stop using, copying and distributing the affected Model Artifacts and delete copies under your control, except for legally required archives or uses expressly permitted by a continuing agreement.

You need not remotely delete or disable copies already lawfully installed on end-user devices. Continued operation requires express permission covering both the Model Artifacts and the SDK or other authorized software; it carries no implied right to backend authorization. Any different arrangement for existing installations must be expressly agreed.

Accrued rights and obligations intended to survive termination remain effective, including ownership and restrictions on retained copies and external disclosure of benchmark results.

9. Performance, remedies and liability

Your Agreement governs performance commitments, defect remedies and liability relating to the Model Artifacts. Where the Terms of Service apply, sections 15 and 16 govern, including the free-trial liability rule and the aggregate liability cap shared across the Services. This license creates no separate or additional cap, warranty disclaimer or damages exclusion. Matters not addressed by the Agreement are governed by applicable law.

10. Precedence and general terms

Individually agreed provisions and your Agreement prevail over conflicting provisions of this license. Where the Terms of Service apply, their section 21 determines the order of precedence. Earlier license grants remain unaffected unless validly amended.

Governing law, jurisdiction, notices and amendments follow your Agreement. In the absence of an agreed provision, German law applies, excluding the UN Convention on Contracts for the International Sale of Goods, with Berlin courts having exclusive jurisdiction where legally permitted.

Invalid or unincorporated standard terms are replaced by statutory provisions; the remainder continues subject to law. Nothing in this license excludes mandatory statutory rights.
